New Mexico is the low SOS-floor formation state: $50 Articles of Organization, no LLC annual report (corporations are different), Articles that do not require member or manager names, and online-only filing through the SOS Enterprise portal. Registered agent (New Mexico)

  • Every LLC must continuously maintain a New Mexico registered office and registered agent (§ 53-19-5).
  • RA must be an individual resident of New Mexico, or a domestic/foreign entity authorized in NM with a place of business that is the same as the registered office.
  • Registered office needs a street address (not a PO box alone).
  • Formation package includes a separate signed RA acceptance (§ 53-19-9 / 12.3.4.11 NMAC).
  • Most non-residents buy a commercial registered agent (provider RA fees are in the table above).

Gotchas (fact-based)

  • Privacy on Articles: § 53-19-8 requires the LLC name, initial RA/office, principal place if different, duration if not perpetual, and status statements for manager-management / single-member — not member or manager names.
  • Corporation report confusion: New Mexico corporations file biennial reports under Article 5. That is not an LLC obligation under Article 19.
  • No publication fee found: Articles statute, fee schedule, and NMAC domestic LLC document list do not list a newspaper publication step.
  • GRT if you operate in NM: TRD Business Tax ID registration is free; Gross Receipts Tax can still apply to in-state activity (and remote sellers over the $100k threshold).
  • Foreign ops: Doing business in another state can require Certificate of Authority / annual fees there. New Mexico formation ≠ automatic tax home everywhere.
