Wyoming is a popular “low friction” formation state: $100 Articles of Organization, a typical $60/year annual license tax when Wyoming-located assets are modest, no SOS-listed newspaper publication step, and Articles that do not require member names on the public filing. Annual report timing

  • Due on or before the first day of the anniversary month of formation (formed Jan 15 → due Jan 1 each year).
  • May file up to 120 days before the due date.
  • Miss it: delinquent on the 2nd day of the following month; administrative dissolution if still unfiled 60 days after due date.
  • Online annual-report convenience fee: charged by the payment processor — unverified — check source for the exact dollar amount (not a fixed line on the fee schedule PDF).

Registered agent (Wyoming)

  • Every domestic or foreign entity must continuously maintain a registered agent.
  • RA needs a physical Wyoming street address where a person can accept service — not a PO box, drop box, virtual address, or mail-forwarding location alone.
  • Articles must include the RA’s name and street address plus the RA’s written consent.
  • DIY RA is allowed only if you are 18+, reside in Wyoming, and have a physical WY address and valid email.
  • Most non-residents buy a commercial registered agent (provider RA fees are in the table above).

Gotchas (fact-based)

  • Privacy on Articles: Wyoming LLC Articles require the company name and initial RA — not member names on the Articles themselves (W.S. 17-29-201). The RA must still keep certain manager/capacity records at the registered office unless you elect to file that info publicly.
  • No publication fee found: SOS formation instructions and the July 1, 2026 fee schedule do not list a newspaper publication requirement for domestic LLCs.
  • License tax can exceed $60: It scales with assets located and employed in Wyoming at $0.0002/dollar when that beats the floor (SOS example: $1.21M → $242).
  • Foreign ops: Doing business in another state can require Certificate of Authority / annual fees there. Wyoming formation ≠ automatic tax home everywhere.
  • Names starting with “A”: SOS portal notes those may require paper filing for manual name review.
  • Income tax posture: Wyoming DOR’s published mission covers mineral, excise, property valuation, and liquor — not a personal/corporate income tax. Sales/use and local taxes can still apply. Confirm with a tax pro.

Often a fit when…

  • You want a low, predictable SOS schedule ($100 Articles; typically $60/yr license tax at the asset floor).
  • You care about Articles that omit member names from the public formation document, plus a commercial RA address on the filing.
  • You are comparing states and want to avoid a separate California-style franchise tax and SOS-listed publication costs.

Often a poor fit when…

  • Your customers, employees, or inventory live mainly in another state — you may still owe that state’s registration and taxes.
  • You want free DIY registered agent but do not live in Wyoming with a physical street address.
  • You will hold large Wyoming-located asset bases (license tax rises above $60).
