Mississippi — $50 to form, $0 domestic annual report

The Mississippi SOS fee schedule lists Certificate of Formation (F0100) at $50 and the domestic LLC Annual Report (F0108) at $0. The report is still mandatory: file online any time from January 1 through the April 15 due date. Formation + three free reports → $50. Foreign LLCs pay $250 for the same annual report — that path is not modeled here. A $0 fee is easy to forget; missing the report can still lead to administrative dissolution, and reinstatement is not free.

South Carolina — $110 Articles, no SOS annual for pass-through

South Carolina’s Business Entities Online forms list prices Articles of Organization at $110 (statutory). A default pass-through LLC generally owes no SOS annual report, so the three-year SOS baseline stays $110. Online filings are often quoted around $125 because of an electronic records access surcharge (~$15) — that surcharge is excluded from this ranking so the statutory fee stays comparable across states. LLCs that elect C-corp or S-corp taxation can pick up Department of Revenue CL-1 / corporate license-fee obligations that are also outside the baseline.

Virginia — $100 Articles, $50 annual registration fee

Virginia SCC forms list “Form a new Virginia LLC” (LLC1011) at $100. Virginia LLCs do not file a traditional annual report; the SCC instead assesses a flat $50 annual registration fee each year after the year of formation, due by the last day of the month in which the LLC was organized. Articles + three on-time $50 fees → $250. Late payment carries a $25 penalty; if unpaid through the last day of the third month after the due date, the LLC is automatically canceled by operation of law.
